This Restaurant Partner Agreement (“Agreement”) is entered into by and between OnRide, a delivery service based in Bancroft, Ontario (“OnRide”), and the undersigned restaurant (“Partner”).
1. Scope of Services
OnRide agrees to provide food delivery services for the Partner’s restaurant to customers within Bancroft, under the terms set forth in this Agreement.
2. Partner Responsibilities
- The Partner agrees to provide accurate, up-to-date menus and pricing to OnRide.
- The Partner will ensure that food is prepared and packaged in a timely manner for pickup and delivery.
- The Partner is responsible for maintaining food safety and quality standards.
- The Partner agrees to resolve any customer complaints related to food quality or preparation.
- The Partner must notify OnRide of any changes in operating hours.
3. Fees and Commissions
A 10% commission per order will apply until June 1st, 2025. This 10% commission is calculated on the total order amount, including HST and excluding delivery fees, tips for service, and delivery HST.
OnRide will receive the full payment from the customer for delivery fees, tips for service, and HST on delivery.
OnRide may also add premium options within the website and to the service.
After June 1st, 2025, the commission rate and terms may be changed at OnRide’s discretion. A two weeks’ notice will be given to the Partner.
4. Payment Terms
OnRide will remit payments to the Partner for orders delivered, minus applicable commissions, on a bi-weekly basis, specifically on the 2nd and 17th of each month.
5. Term and Termination
- This Agreement shall begin on the date signed by both parties and will continue unless terminated by either party.
- OnRide reserves the right to terminate this Agreement at its sole discretion, with one week’s notice.
- The Partner may also terminate the Agreement with one week’s notice.
- OnRide reserves the right to change the terms and conditions of this Agreement in the future. Notice of any changes will be given to the Partner.
6. Liability and Indemnification
- OnRide is not responsible for the quality, preparation, or safety of the food provided by the Partner.
- The Partner agrees to indemnify and hold OnRide harmless from any claims, damages, or liabilities arising from food-related issues or the Partner’s operations.
7. Confidentiality
Both parties agree to keep any proprietary information shared during the partnership confidential.
8. Governing Law
This Agreement shall be governed by the laws of the Province of Ontario.
